TERMS OF USE

THESE TERMS GOVERN YOUR USE OF BORZAGE.COM AND BORZAGECAPITAL.COM (TOGETHER, THE "SITES"). BY USING THE SITES, YOU AGREE TO THEM.

Borzage, Borzage Family, and Borzage Capital (collectively, "Borzage," "we," "us," or "our") refer to private, Texas-based family activities.

1. INFORMATIONAL USE - NO SOLICITATION OR ADVICE

The Sites provide general information about our private family activities. "Borzage Capital" is a private family label and is not an investment fund or investment adviser. Nothing on the Sites is professional advice, an offer or solicitation, or a commitment to invest, donate, provide services, or enter into any transaction. We do not accept clients or outside investment through the Sites.

2. CONTENT AND INTELLECTUAL PROPERTY

The Sites and their content are owned by or licensed to their respective owners and are protected by applicable law. You may view and use the Sites for personal, noncommercial purposes. You may not copy, distribute, commercially exploit, or use Site content or any person's name, image, voice, or likeness without permission or in a manner that implies endorsement.

3. SUBMISSIONS AND ACCEPTABLE USE

Do not submit confidential, sensitive, unlawful, or unauthorized material. A submission does not create a confidential, advisory, fiduciary, employment, representation, or other relationship and does not obligate us to respond or act. You retain ownership of material you submit and permit us and our service providers to process it as reasonably necessary to handle your communication.

Automated tools may assist with communications. Routine or automated communications do not create a binding commitment. Any commitment must be made separately by a person with authority to make it.

You may not misuse the Sites, interfere with their operation or security, introduce malicious code, misrepresent your identity or authority, or use Site content unlawfully.

5. DISCLAIMER OF WARRANTIES

The Sites and their content are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties that may otherwise apply and do not promise that the Sites will always be available, secure, accurate, complete, or current.

6. LIMITATION OF LIABILITY

To the fullest extent permitted by law, we, our family members, and people who help us operate the Sites will not be liable for damages arising out of or relating to your use of the Sites, reliance on Site content, or communications initiated through the Sites. This limitation does not apply to liability that applicable law does not allow to be limited.

7. INDEMNIFICATION

You agree to indemnify and hold harmless us, our family members, and people who help us operate the Sites from third-party claims, liabilities, damages, judgments, losses, and reasonable attorneys' fees and costs arising out of or relating to your violation of these Terms; your use or misuse of the Sites; material you submit; or your violation of applicable law or another person's rights. This section does not apply to the extent a claim was caused by the protected person's own negligence or unlawful conduct, or to liability that applicable law does not allow to be shifted.

8. GOVERNING LAW AND VENUE

Texas law governs these Terms. Except where applicable law requires otherwise, disputes must be brought in the state or federal courts serving Hays County, Texas.

9. CHANGES TO TERMS

These Terms are effective as of August 20, 2026 and may be updated from time to time. Changes are effective when posted unless a later date is stated or applicable law requires otherwise.
